1. Introduction

Welcome to Well Seven ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Well Seven marketing automation platform, including our website, applications, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account & Registration

3.1 Registration

To use the Service, you must create an Account by providing accurate and complete information. You may register using an email address and password or through a supported identity provider (e.g., Google OAuth).

3.2 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must immediately notify us at contact@wellseven.com if you become aware of any unauthorized use of your Account.

3.3 Organization Accounts

Organizations may invite multiple Users. The Organization administrator is responsible for managing user access, roles, and permissions. Users may belong to multiple Organizations.

3.4 Age Requirement

You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an Account and use the Service.

4. Service Description

Well Seven is a marketing automation platform that provides the following core modules:

• Outbound Automated lead generation through AI-powered prospect research and personalized email sequences
• Inbound Reporting Cross-platform paid advertising analytics with AI-generated insights and actionable weekly reports
• Organic Social AI-driven content creation, video generation, multi-platform publishing, and performance analytics

The Service relies on AI technology (including large language models) to generate content, analyze data, and provide recommendations. While we strive for accuracy, AI-generated outputs may contain errors or inaccuracies. You are responsible for reviewing and approving all AI-generated content before use.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Send unsolicited communications (spam) or violate anti-spam legislation (CAN-SPAM, GDPR, CASL)
• Upload or distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems
• Scrape, data-mine, or otherwise extract data from the Service except as permitted by your Subscription
• Create misleading, deceptive, or fraudulent advertising content
• Publish content that is defamatory, obscene, discriminatory, or promotes violence
• Circumvent usage limits, rate limits, or access controls
• Resell, sublicense, or redistribute the Service without written authorization

We reserve the right to suspend or terminate your Account if we determine, in our sole discretion, that you have violated these acceptable use requirements.

6. Subscriptions & Billing

6.1 Plans

The Service is offered through subscription plans (Free, Starter, Growth, Pro) with varying feature sets and usage limits. Current plan details and pricing are available on our website.

6.2 Payment

Paid subscriptions are billed in advance on a monthly or annual basis. Payment is processed securely through Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees.

6.3 Free Trial

We may offer a free trial period. At the end of the trial, your Account will revert to the Free plan unless you subscribe to a paid plan.

6.4 Cancellation

You may cancel your subscription at any time through your Account settings or the Stripe billing portal. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.

6.5 Price Changes

We may modify our pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6.6 Credits

Certain features (AI generation, video creation, social publishing) consume credits. Credit allocations and renewal schedules are determined by your Subscription plan. Unused credits do not roll over between billing periods unless otherwise stated.

7. Intellectual Property

7.1 Our Rights

The Service, including its design, code, features, documentation, and branding, is owned by Well Seven and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or trade names.

7.2 Your Content

You retain ownership of all Content you upload to or create through the Service. By using the Service, you grant us a limited, non-exclusive, worldwide license to process, store, and display your Content solely for the purpose of providing the Service.

7.3 AI-Generated Content

Content generated by the Service using AI (including ad copy, reports, social media posts, and video scripts) is provided for your use. You are solely responsible for ensuring that AI-generated content complies with applicable laws, platform policies, and does not infringe on third-party rights.

7.4 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, irrevocable license to use and incorporate such feedback without obligation to you.

8. Data Processing

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.1 Data Controller

For data you process through the Service (e.g., advertising audience data, lead information, analytics), your Organization acts as the data controller and Well Seven acts as the data processor.

8.2 Security

We implement industry-standard security measures to protect your data, including encryption in transit (TLS) and at rest (AES-256), role-based access controls, and regular security audits. Connector credentials are encrypted using AES-256-GCM and are never stored in plaintext.

8.3 Data Portability

You may export your data at any time through the Service or by contacting us. Upon termination, we will retain your data for 30 days, after which it will be permanently deleted unless legal retention obligations apply.

9. Third-Party Services

The Service integrates with third-party platforms and services. By connecting these services, you acknowledge and agree that:

• You must have a valid account and comply with the terms of service of each Connected Platform (Google Ads, Meta, TikTok, etc.)
• Well Seven accesses Connected Platforms on your behalf using credentials you authorize via OAuth; we do not control these platforms
• Changes to third-party APIs, policies, or availability may affect Service functionality; we are not liable for such changes
• You are solely responsible for compliance with each Connected Platform's advertising policies, content guidelines, and terms of use
• Well Seven is not responsible for any actions taken by Connected Platforms on your accounts (e.g., ad disapprovals, account suspensions)

10. Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Well Seven does not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated content will be accurate, complete, or suitable for any particular purpose
• The Service will achieve any specific marketing results or performance metrics
• Defects will be corrected in a specific timeframe

We make commercially reasonable efforts to maintain Service uptime but do not guarantee any specific availability percentage.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WELL SEVEN, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (100 EUR).

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if Well Seven has been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Well Seven and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service
• Your Content or advertising campaigns created through the Service
• Your violation of these Terms or any applicable law
• Your violation of any third-party right, including intellectual property or privacy rights
• Any claim arising from advertisements you publish through Connected Platforms using the Service

13. Termination

13.1 By You

You may terminate your Account at any time by contacting us or through your Account settings. Termination does not entitle you to a refund of any prepaid fees.

13.2 By Us

We may suspend or terminate your Account immediately if we believe you have violated these Terms, engaged in fraudulent activity, or if required by law. For non-material breaches, we will provide 14 days' notice before termination.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow export, after which it will be permanently deleted. Sections that by their nature should survive termination (Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law) shall survive.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France.

For consumers residing in the European Union, this choice of jurisdiction does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence, including the right to bring proceedings before your local courts.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Provide notice through the Service (e.g., a banner or in-app notification)
• Send an email notification to the Organization administrator for significant changes

Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and close your Account.
